AI Terms of Service

1. Scope and applicability

1.1 These AI Terms of Service (“AI Terms”) govern the use of artificial intelligence-powered features made available by Prepr B.V. (“Prepr”) as part of the Prepr CMS Services (“AI Features”).

1.2 These AI Terms apply in addition to the General Terms and Conditions of Prepr. In the event of a conflict between the AI Terms and the General Terms and Conditions, the AI Terms shall prevail solely with respect to the use of AI Features.

1.3 By enabling or using any AI Feature within Prepr CMS, the Customer confirms acceptance of these AI Terms. If the Customer does not agree, the AI Features must not be used.

2. Description of AI features

2.1 Prepr provides AI Features to assist Customers with content-related tasks such as content generation, translation, summarisation, optimisation, classification, and analysis.

2.2 AI Features are supportive tools intended to increase efficiency and productivity. They do not replace human editorial, legal, or professional judgment.

2.3 Prepr may update, modify, replace, or discontinue AI Features at any time, including changes to underlying models or providers, without guaranteeing functional equivalence.

3. Use of third-party AI providers

3.1 Prepr uses third-party artificial intelligence providers, including but not limited to OpenAI, to deliver AI Features.

3.2 Customer input submitted to AI Features (“AI Input”) may be transmitted to such third-party providers solely for the purpose of generating AI-powered output (“AI Output”).

3.3 Prepr does not control the underlying AI models and does not guarantee the availability, performance, or accuracy of third-party AI services.

3.4 Prepr cannot guarantee that third-party AI providers process and store data exclusively within the European Union (EU).

4. Customer content and data processing

4.1 The Customer retains ownership of all Customer content, including AI Input and AI Output.

4.2 The Customer grants Prepr a limited, non-exclusive right to process AI Input and AI Output solely for providing, maintaining, and improving the AI Features in accordance with the agreement.

4.3 The Customer is responsible for ensuring that no unlawful, confidential, sensitive, or personal data is submitted to AI Features unless such processing is permitted under applicable law and the Customer has obtained all necessary rights and consents.

4.4 Prepr does not allow the use of Customer content to train AI models unless explicitly agreed otherwise in writing.

5. Accuracy and reliability of AI output

5.1 AI Output is generated automatically and may be inaccurate, incomplete, misleading, or inappropriate.

5.2 Prepr does not guarantee the correctness, originality, legality, or suitability of AI Output for any specific purpose.

5.3 The Customer is solely responsible for reviewing, validating, and approving any AI Output before use, publication, or distribution.

6. Intellectual property considerations

6.1 AI Output may not be unique and may resemble content generated for other users or obtained from public sources.

6.2 Prepr does not warrant that AI Output does not infringe third-party intellectual property rights.

6.3 The Customer bears full responsibility for ensuring that use of AI Output complies with applicable intellectual property laws and third-party rights.

7. Acceptable use of AI features

7.1 The Customer must not use AI Features to generate or distribute content that is unlawful, harmful, misleading, discriminatory, defamatory, or otherwise violates applicable laws or regulations.

7.2 The Customer must not use AI Features to generate content that infringes intellectual property rights, privacy rights, or contractual obligations of third parties.

7.3 Prepr reserves the right to suspend or restrict access to AI Features in case of misuse or violation of these AI Terms.

8. Compliance and regulatory considerations

8.1 The Customer is responsible for ensuring that its use of AI Features complies with all applicable laws and regulations, including but not limited to data protection, consumer protection, and sector-specific regulations.

8.2 Prepr does not provide legal, regulatory, or compliance advice through AI Features.

9. Limitation of liability

9.1 AI Features are provided “as is” and “as available,” without warranties of any kind.

9.2 To the maximum extent permitted by law, Prepr shall not be liable for any damages arising from or related to the use of AI Features or reliance on AI Output, including indirect, consequential, or business losses.

9.3 Any liability related to AI Features shall be subject to the limitations and exclusions set out in the General Terms and Conditions.

10. Changes to the AI terms

10.1 Prepr may update these AI Terms from time to time. Updated versions will be made available through Prepr’s website or documentation.

10.2 Continued use of AI Features after changes take effect constitutes acceptance of the revised AI Terms.

11. Governing law

11.1 These AI Terms are governed by and construed in accordance with the laws of the Netherlands, in line with the General Terms and Conditions.
